What are Actively Managed Certificates?
An AMC note/certificate is a debt security issued by financial institutions; its return is based on a single asset or a basket of assets. They are a combination of financial contracts embodied in a single security, which can be traded like a stock or bond. The return of such a note is linked to the performance of an underlying asset or multiple assets on a predetermined date or with open-end maturity. Usually the AMC follows a defined composition of underlying assets or an index which changes over the time at the discretion of an external asset manager. AMCs enable a very fast time to market when the external asset manager decides to create its own strategy.

What is a Tracker?
A tracker certificate is a certificate issued by a bank or financial institution. A tracker certificate reflects the change in value of the underlying asset's price movement 1 to 1. The underlying asset can be, for example, a share, a bond, a commodity, a currency or a combination of different underlying assets.

What are Credit Linked Notes?
A credit linked note (CLN) is a form of funded credit derivative. It is structured as a security with an embedded credit default swap allowing the issuer to transfer a specific credit risk to credit investors. The issuer is not obligated to repay the debt if a specified event occurs.

What is an ISIN?
An international securities identification number (ISIN) is a universally accepted identifier exclusive to a particular issue of security. SIN numbering is the de facto standard for securities trading internationally. The ISIN is granted by the National Number Agency of the country in which the security is issued. All ISIN codes have 12 characters and is made up of letters and numbers. A Swiss ISIN number always starts with “CH”

Parties Involved in a Security

Custodian
Typically a custodian is a financial institution that holds customers' securities for safekeeping in order to minimize the risk of their theft or loss. A custodian holds securities and other assets in electronic or physical form, but it always depends upon which product is emitted.

Broker/Dealer
Investors should ensure that funds and securities required for their trades is available with their brokers, to settle a trade without default. Brokers create 3-in-1 accounts where the trading and bank accounts are linked, so that transactions in securities are smoothly executed.

Storage Provider
In CRYPTO transactions, this is an entity which has specialized to safely store crypto currency.

Valuation Agent
Valuation Services are provided by experts who are responsible to set up the issuer vehicle (SPV) for an emission.

Strategy Manager
In most cases this will be an officer appointed by the Originator who will develop the investment strategy for the Security Offering with the help of Experts. A Strategy Manager will be responsible to manage the AMC (Actively Managed Certificates). He is not in charge of CLN management, or general private equity or private debt issues.

Distributor
This is the entity responsible for the distribution of your security to investors.
